Terms of Service

These Terms of Service ("Terms") govern your use of vertexsecuredev.com (the "Site"), the free security scan tool available at /scan (the "Scan Tool"), and any paid security testing or web development services ("Services") provided by Vertex Security & Dev ("Vertex", "we", "us", or "our"), a cybersecurity and web development consultancy based in Nairobi, Kenya. By accessing the Site, using the Scan Tool, or engaging us for Services, you agree to these Terms. If you do not agree, please do not use the Site, the Scan Tool, or our Services.

1. Acceptable Use of the Scan Tool

The Scan Tool lets you run a free, external, surface-level check of SSL/TLS configuration, HTTP security headers, and DNS email-authentication records for a domain. By submitting a domain, you represent and warrant that:

• you own that domain, or
• you have obtained prior written authorization from the domain's owner or operator to test it.

Submitting a domain you don't own and don't have authorization to test is a breach of these Terms. You are solely responsible for confirming you have the right to test any domain you submit, and for any consequences of testing a domain without that right. We may suspend or block access to the Scan Tool for any submission we reasonably believe violates this section, without notice.

2. No Guarantee of Completeness

The Scan Tool performs a limited, automated, surface-level check. It is not a penetration test, a comprehensive vulnerability assessment, or a substitute for one. It does not test authenticated areas, application logic, business logic flaws, access control, or anything behind a login. A clean or high-graded result does not mean a domain is secure or free of vulnerabilities — it only means the specific, limited checks we ran did not find an issue at the time they ran. Security postures change; a result reflects a single point in time and can become out of date immediately.

3. Informational Purposes Only — No Legal or Compliance Advice

Scan results, and any general information provided on the Site, are provided for informational purposes only. They do not constitute legal, regulatory, or compliance advice, including advice on compliance with the Kenya Data Protection Act, 2019 or any other law. You should not rely on a scan result, or anything on the Site, as a determination that your systems or business comply with any legal or regulatory requirement. Where compliance matters to you, seek advice from a qualified professional.

4. Limitation of Liability

The Site, the Scan Tool, and any free information we provide are offered "as is" and "as available," without warranties of any kind, whether express or implied, including any warranty of accuracy, completeness, merchantability, or fitness for a particular purpose. To the fullest extent permitted by the laws of Kenya, Vertex will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or business opportunity, arising from your use of, or inability to use, the Site or the Scan Tool, or from any action you take (or don't take) based on a scan result. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the laws of Kenya.

5. Paid Services Are Governed by Separate Agreements

These Terms cover your use of the Site and the free Scan Tool. They do not, by themselves, govern paid security testing or web development engagements. Where you engage us for Services, the scope, timeline, cost, deliverables, confidentiality (including any NDA), and other terms of that engagement are set out in a separate written agreement or statement of work agreed between you and Vertex before any paid work begins. If there is a conflict between these Terms and a signed engagement agreement, the engagement agreement controls for that engagement.

6. Intellectual Property

The Site and its content — including but not limited to text, graphics, logos, the Vertex name and marks, page layouts, and the underlying code — are owned by Vertex Security & Dev or our licensors and are protected by applicable intellectual property laws. You may view and use the Site for your own personal or internal business purposes. You may not copy, reproduce, republish, or create derivative works from the Site's content for commercial purposes without our prior written consent. Deliverables produced under a separate paid engagement agreement are governed by the intellectual property terms of that agreement, not by this section.

7. Right to Refuse or Terminate Service

We may refuse, suspend, or terminate your access to the Site, the Scan Tool, or any Service, at any time and at our sole discretion — including if we reasonably believe you have violated these Terms, submitted a domain without authorization, misused the Scan Tool, or engaged in abusive, unlawful, or fraudulent conduct. Where paid Services are already underway, any termination of that engagement is governed by the applicable engagement agreement.

8. Changes to These Terms

We may update these Terms from time to time, for example to reflect changes to the Site, the Scan Tool, or applicable law. We'll update the "Last updated" date at the top of this page whenever we do. Continued use of the Site or the Scan Tool after an update means you accept the revised Terms.

9. Governing Law

These Terms are governed by, and construed in accordance with, the laws of Kenya, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms, the Site, or the Scan Tool will be subject to the exclusive jurisdiction of the courts of Kenya.
